商業社會中有著形形色色的企業架構，對於初創企業而言，選擇合適的企業架構是成功的第一步。NVLT 將會與大家分析不同企業架構的運作，更會與你深入探討如何透過有效運用公司的股份，以達到不同企業目標，如融資和員工招聘等。

The New Ventures Legal Team由十名香港中文大學就讀法律專業的同學於2014年6月成立。目標是為中大同學在創業過程中遇到的法律問題，提供優質的法律研究報告和資訊，協助創業的同學作出明智的決策。

The talk, run by the New Ventures Legal Team, aims to inform you about the basic principles of the corporate structure. We will deal with the different business structures, how to incorporate, and how to use shares of a company to achieve different aims such as financing or employment.

The New Ventures Legal Team is a team of 10 senior CUHK LLB and PCLL law students. Founded in June 2014, the goal of the Team is to provide quality legal research and information for new ventures in CUHK with respect to any legal issues that may arise in the course of their projects. Although not in any way legal advice, the Team seeks to allow entrepreneurs and project initiators to make more informed decisions by providing accessible and informative research on the legal dimensions of their endeavors.

今次Entrepreneurship Corner特意邀請香港應用科技研究院(ASTRI)與大家介紹一系列為年輕科技創業家實現創業夢而提供的支援計劃，Dr. Lau亦會與大家分享他多年創業投資的經驗。

Felix在完成學業後，便加入了創業的行列。而他對創新科技的濃厚興趣，確定了他創業的方向。他致力在內地創新科技的行業發展，至今已逾15年。他曾創辦多間科技公司，行業涉及互聯網服務、音樂產業、移動互聯網工具等。他旗下的焯能科技投資有限公司自 2009 年以來一直投資高科技企業的投資公司，專注於高科技企業，包括互聯網、國家彩票、教育文化、新能源、文化創意、生物科技、新材料、新一代資訊技術等產業。此外，他更是中國天使會的始創成員，為促進內地的天使投資行業發展而努力。

The CUHK Pre-Incubation Centre (Pi Centre) is open for application now! The Pi Centre is located at the Lady Ho Tung Hall in CUHK which will provide FREE Workspace, Facilities, Development and Mentoring Support for startup projects for up to one year.

All CUHK students (undergraduate and postgraduate) in ANY disciplines are welcome to apply on or before Feb 28, 2015 (Saturday).

David 畢業後投身中貿事業，任職跨國集團。其後移民加拿大並於 1989 年創立了屬於自己的公司。在經營的過程中，David 感受到中國經濟高速發展帶來的商機，便毅然回流。其後創立了北京安力斯科技發展有限公司，致力將世界先進的紫外線消毒技術引入中國。近年更在市政、建築中 水、油田回注水等領域取得了優良的業績，得到業內的廣泛認可，成為中國紫外線消毒行業的領跑者。該公司屢獲殊榮，不單於 2007 年度被中國環境報、中國水網和中國證券報聯合評為水業優秀設備公司，更在 2009 年被中國水工業互聯網站評為中國十佳城鎮污水處理廠主要設備供應商。David 現為多間公司的負責人，業務更遍及亞洲不同的地區。

• Bess早年投身於網絡及流動科技行業，是多個國際科技會議講者，也是多間獲得國際創業獎項的初創企業顧問，包括Sensbeat以及被列入德國初創企業Top100的KarFarm。Bess現為Wingz的天使領投者，Wingz為國際旅客提供自訂機場接送的服務。
• Vincent 畢業於香港科技大學，並且獲得學業成就獎。他現正致力於發展Sensbeat的業務和財務策略。Sensbeat由一班香港科技大學學生創立，研發可供用 家分享音樂及情感的手機應用程式作為新型音樂社交平台。Sensbeat程式已奪多個本港及國際創業獎，更成功籌得四百萬港幣的開發成本，在本港學生創業 籌資金額中名列前茅。
• 區玉輝教授乃香港中文大學創業研究中心和家族企業研究中心的創辦人之一。他是香港政府扶貧委員會轄 下的社會創新及創業發展基金專責小組及社會企業諮詢委員 會委員，亦為政府及商業機構提供顧問服務和培訓。此外他亦是香港天使投資脈絡(HKBAN)、美國家族企業研究所(FFI) 、International Study of Entrepreneurship Education Outcomes (ISSEO)的董事，並為多間新創公司的天使投資者。

3D Printing Workshop

立體打印技術以往多應用於工業產品研發，但這項技術近年來愈趨普及化，成本大大減低，所需要的技術更是遠低於大家的想像。立體打印技術不但勢必未來在文化創 意產業扮演著相當重要的角色，它的價格平民化和技術的簡單化，使你我都能夠輕鬆發揮創意，製作屬於自己獨一無二的模型。透過本次講座，大家可以了解到整個打印過程的步驟：由立體掃瞄到利用電腦軟件建立打印的檔案，最後打印出實物。

立體打印技術打破平面打印的局限，幫助大家把無窮的創意化為現實。Chris經營專門店印膠堂，向內地、台灣及東南亞等地區出售自家製立體打印機及配件。他 亦曾到北京及澳門等地主持立體打印機工作坊，每年參加科技界盛事Maker Faire，向大眾推廣研究成果。甚至來自國外的立體打印機品牌 ─ Makibox的團隊初來港創業也是向他購買打印機作研究。透過Chris的介紹大家定能對立體打印技術有進一步的認識。

It is of vital importance for startups and entrepreneurs to understand basic principles of contract. The talk, run by the New Ventures Legal Team, aims inform you about the basic principles of contract law in relation to businesses.
